Terms of Service

These Terms of Service (the Terms) are an agreement between Opex Technologies Pte. Ltd. (OpexCG, we, us) and the organization that signs up for or uses Opex AIO (the Customer, you). They apply to every Opex AIO product: Helpdesk, PMO, Timesheets, CRM, Expenses and Leave, together the Service.

If you accept these Terms on behalf of an organization, you confirm that you are authorized to bind it. If you do not agree, do not use the Service.

1. The Service

Opex AIO is a set of business applications that run on one shared workspace. You can subscribe to one product or several. Each product you subscribe to is enabled for your workspace for the period you have paid for or the trial period.

We improve the Service continuously and may add, change or remove features. We will not materially reduce the core functionality of a product you have paid for during your current subscription period.

2. Accounts and access

Your workspace has an owner who controls who is invited, which products each user can access, and what happens to the workspace data. You are responsible for all activity in your workspace and for making sure your users follow these Terms.

Users sign in with a business email address and one-time codes. Keep access to those mailboxes secure and tell us promptly if you believe your workspace has been accessed without permission.

3. Free trial

We may offer a free trial, currently 7 days. Trials are provided as is, without any service commitment, and may be ended or changed at any time. When a trial ends, the product stops being available until you subscribe. We keep trial data for at least 30 days after the trial ends so you can subscribe or export it, unless you ask us to delete it sooner.

4. Fees and payment

Fees are set out on our pricing page or in an order form we agree with you, and are charged per product and per user unless stated otherwise. Subscriptions are billed in advance, monthly or annually, and renew automatically for the same period until cancelled.

Fees exclude taxes. You are responsible for any VAT, GST, PPN or similar taxes, other than taxes on our income. If a payment is overdue, we will tell you and may suspend the affected products if it remains unpaid 14 days after that notice.

We may change our prices with at least 30 days' notice. New prices apply from your next renewal. Fees already paid are not refundable, except where these Terms or applicable law say otherwise.

5. Your data

Everything your users put into the Service, such as tickets, projects, time entries, contacts, deals, expense claims, receipts and leave requests, is Customer Data. You own your Customer Data.

You give us permission to host, process and display Customer Data only to provide, secure and support the Service for you. We handle personal data as described in our Privacy Policy. We do not sell Customer Data and we do not use it to train AI models.

You can export your data while your subscription is active. After your subscription ends, we keep Customer Data for 30 days so you can export it, then delete it within a further 60 days, except where the law requires us to keep it longer.

6. AI features

Some features use artificial intelligence, for example suggested ticket triage and answers drafted from your knowledge base in Helpdesk, and reading receipts in Expenses. AI output can be wrong or incomplete. It is offered as a suggestion for a person to review, and you are responsible for decisions you make with it.

7. Acceptable use

You and your users must not:

  • use the Service for anything unlawful, or to store or send content that infringes others' rights;
  • upload malware or try to gain unauthorized access to the Service or other customers' data;
  • probe, scan, load test or disrupt the Service without our written permission;
  • copy, resell or reverse engineer the Service, or use it to build a competing product;
  • work around usage limits, access controls or product entitlements.

8. Availability and support

We use commercially reasonable efforts to keep the Service available and secure, and to schedule maintenance at times that minimize disruption. Support is available through the contact page and inside the app. Service levels with specific targets apply only where they are written into an order form.

9. Intellectual property

We own the Service, including its software, design and documentation. These Terms give you a right to use the Service during your subscription and do not transfer any ownership. If you send us feedback or ideas, we may use them without obligation to you.

10. Confidentiality

Each party will keep the other's non-public information confidential, use it only for the purposes of these Terms, and protect it with at least reasonable care. This does not apply to information that is public, already known to the recipient, or that must be disclosed by law.

11. Warranties and disclaimers

We will provide the Service with reasonable skill and care. Apart from that, and to the extent the law allows, the Service is provided as is, without other warranties, including fitness for a particular purpose. We do not promise that the Service will be uninterrupted or error free.

12. Limitation of liability

Neither party is liable for indirect or consequential losses, or for lost profits, revenue or data, even if it was told they were possible. Each party's total liability under these Terms is limited to the fees paid or payable by the Customer in the 12 months before the event that caused the claim.

These limits do not apply to fees you owe, to breaches of the acceptable use section, or to liability that cannot be limited by law.

13. Indemnity

We will defend you against third-party claims that the Service, used as permitted, infringes their intellectual property, and pay amounts awarded against you for such a claim. You will defend us against third-party claims arising from your Customer Data or from use of the Service in breach of these Terms.

14. Ending your subscription

You can cancel at any time. Cancellation takes effect at the end of the current billing period. We may suspend or end your access if you materially breach these Terms and do not fix the breach within 14 days of our notice, or immediately if your use creates a security risk or breaks the law.

Sections that by their nature should continue, such as fees owed, confidentiality, limitation of liability and governing law, survive the end of these Terms.

15. Changes to these Terms

We may update these Terms. If a change is material, we will tell the workspace owner by email or in the app at least 30 days before it takes effect. Continuing to use the Service after that date means you accept the updated Terms.

16. Governing law and disputes

These Terms are governed by the laws of Singapore. The parties will first try to settle any dispute in good faith within 30 days. If that fails, the courts of Singapore have exclusive jurisdiction.

17. Language

These Terms are provided in English and Indonesian. Both versions are intended to have the same meaning. If they differ, the English version prevails to the extent permitted by applicable law.

18. General

These Terms, any order form and the Privacy Policy are the entire agreement between us about the Service. Neither party may assign these Terms without the other's consent, except to a successor of its business. Neither party is liable for delays caused by events beyond its reasonable control. If any part of these Terms is unenforceable, the rest remains in effect.
